These Terms of Service ("Terms") govern your access to and use of the UCP Platform website (the "Site"), including the public marketing pages, support ticket system, and authenticated training library, operated by Unified Care Programming LLC ("UCP," "we," "us," or "our").
By accessing or using the Site, you agree to be bound by these Terms. If you are using the Site on behalf of a healthcare organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the Site
The Site is a public-facing marketing and support website for Unified Care Programming. The Site provides:
- Information about UCP Platform features and capabilities
- Platform demo videos
- A support ticket intake system for contracted facilities
- An authenticated training library for staff at contracted facilities
- A link to the UCP clinical platform for staff login
The Site does not handle patient data, clinical content delivery, or any protected health information (PHI). The UCP clinical platform is a separate application governed by its own terms of service.
3. Training Library Access
Access to the training library is restricted to authorized staff of contracted healthcare organizations. You agree that:
- Your account credentials are provided by your facility administrator and are for your use only.
- You will not share your login credentials with any other person.
- You will notify your administrator immediately if you suspect unauthorized access to your account.
- You will use the training library only for purposes related to your role at your organization.
4. Support Ticket Submissions
When you submit a support ticket through the Site, you agree to provide accurate and complete information. Support tickets are reviewed by UCP staff and responses are sent to the email address provided. We are not responsible for delays caused by inaccurate contact information.
5. Intellectual Property
The Site and its contents, including but not limited to text, images, videos, training materials, software, design, and documentation, are owned by or licensed to UCP and are protected by copyright, trademark, and other intellectual property laws.
You agree that you will not:
- Copy, modify, or distribute the Site's content except as expressly authorized.
- Download or redistribute training library content to unauthorized individuals.
- Reverse engineer, decompile, or attempt to extract the source code of the Site.
- Use the Site's content to develop competing products or services.
6. Data and Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
7. Service Availability
We strive to maintain high availability of the Site but do not guarantee uninterrupted access. The Site may be temporarily unavailable due to:
- Scheduled maintenance
- Emergency maintenance or security updates
- Factors beyond our reasonable control

11. Indemnification
You agree to indemnify, defend, and hold harmless UCP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your violation of these Terms or your misuse of the Site.
12. Termination
Access to the training library may be terminated:
- By your organization's administrator at any time.
- By UCP if you violate these Terms.
- Upon termination of the service agreement between UCP and your healthcare organization.
Public pages of the Site remain accessible regardless of account status.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Missouri.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes.
